Terms of Service

The agreement

These terms are an agreement between you and KJO Studios LLC, a California limited liability company, 785 Oak Grove Rd Ste E2 #1280, Concord, CA 94518 ("we", "us"), the operator of Meme City (the "game"), on the web and in our iOS and Android apps. By creating an account or playing, you agree to these terms and to our Privacy Policy. If you do not agree, do not play.

Who can play

You must be at least 13 years old. If you are under 18, you must have permission from a parent or guardian, who agrees to these terms for you and is responsible for any purchases you make. You may not play if we have previously banned you or if the law where you live forbids it.

Your account

You sign in through our login provider, Privy. Keep access to your sign-in email secure; you are responsible for activity on your account. One person, one account. Accounts are personal and may not be sold, shared or transferred.

Your handle must not be offensive, hateful, sexually explicit, misleading or impersonate anyone. We may change a handle that breaks this rule.

Your licence to play

We give you a personal, limited, non-exclusive, non-transferable, revocable licence to use the game for your own non-commercial entertainment, subject to these terms.

Virtual currency and items

The game uses virtual currencies and items, including MemeCash ("MC"), Gold, dice, bricks, shields, cards and packs, property shares and stalls, relics, leases and game pieces ("Virtual Items").

• Virtual Items are licensed, not sold. You do not own them; you have a limited right to use them in the game under these terms.
• Virtual Items have no monetary value. They cannot be exchanged for real money, goods or anything of value outside the game, and we will never buy them back. There is no cash-out.
• MC cannot be bought with real money. It is earned by playing and can be traded with other players only through the in-game market, priced in MC.
• Gold cannot be transferred to another player and cannot be converted into MC.
• Selling, buying or trading Virtual Items or accounts for real money, outside the game, is prohibited.
• Gold and dice you buy do not expire.
• We may change the game's rules, prices and balance, and how Virtual Items work, to keep the game fair and working. Virtual Items end when your account is deleted or terminated.

Purchases

You can buy Gold, dice, bundles and a season pass. Each purchase grants a fixed, stated amount shown in the store before you pay. No randomised item is sold for real money.

• In the iOS app, purchases are made through Apple and are subject to Apple's terms. Refund requests for App Store purchases go to Apple, which decides them.
• In the Android app, when available, purchases are made through Google Play and are subject to Google's terms and refund policies.
• On the website, purchases are processed by Stripe. For a refund of a website purchase, email [email protected] with the date and item.

When a purchase is refunded or charged back, we may remove the Virtual Items it granted if they have not been used. Purchases are final except as required by law or as stated above.

Random features and odds

Some parts of the game use chance, such as dice rolls, FIND OUT doors, raid doors and card packs. Every result is decided by our servers. No random feature can be bought with real money.

FIND OUT. Landing on a FIND OUT space offers three doors; each door is an independent draw from this table, and the odds are shown in the game before you choose:

• Cash bundle: 4.32%
• Dice refund: 24%
• Bricks: 34.68%
• Shield: 4%
• Straight to LOG ON: 2%
• The Moon eats your lunch: 13%
• Sent backwards: 9%
• Nothing (you found out): 9%

Card packs. A pack holds 5 cards from the album in play. Packs are never sold for real money: you get them by crafting with MC (2,500 MC, limited to 1 per 28-day window), from free season-pass and event rewards, and one free card a day after you roll. Each card is an independent draw. The odds for each album are:

• classic-s1, Common (4 cards): 41.03% per card drawn, 10.26% for each specific card
• classic-s1, Uncommon (4 cards): 25.64% per card drawn, 6.41% for each specific card
• classic-s1, Rare (4 cards): 18.46% per card drawn, 4.62% for each specific card
• classic-s1, Epic (4 cards): 12.31% per card drawn, 3.08% for each specific card
• classic-s1, Legendary (2 cards): 2.56% per card drawn, 1.28% for each specific card

Collector protection: after 30 duplicate cards, your next card is drawn only from album cards you do not yet own, at the same relative odds. If we change the odds, we will update this section before the change takes effect.

Fair play

You agree not to:

• cheat, use bots, scripts, automation or modified clients, or exploit bugs (please report them instead);
• create multiple accounts, including to farm invite rewards;
• interfere with the game's servers or other players' access;
• harass other players or use the game for anything unlawful;
• sell or buy accounts or Virtual Items for real money.

If you break these terms, we may warn you, reset or remove Virtual Items obtained unfairly, suspend your account, or ban you. Some opponents you meet, such as raid targets, may be computer-controlled accounts run by the game.

Your content

The only content you add to the game is your handle. You give us a worldwide, royalty-free licence to display it in the game for as long as your account exists.

Our property

The game, including its software, artwork, audio, text and the Meme City name and logos, belongs to KJO Studios LLC or its licensors and is protected by law. Apart from the licence above, these terms give you no rights in it. If you send us feedback or ideas, we may use them freely.

Changes and availability

The game changes over time: seasons begin and end, and features are added, changed or removed. We may suspend or stop the game, in whole or in part. If we shut the game down permanently, we will give at least 30 days' notice in the game, and Virtual Items will end at shutdown with no refund except where the law requires one.

Ending this agreement

You can stop playing and delete your account at any time in Settings. We may suspend or end your account if you break these terms, if required by law, or if we stop offering the game. Sections that by their nature should survive (including virtual items, ownership, disclaimers, limits of liability and disputes) survive the end of this agreement.

Disclaimers

The game is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, and we do not promise that the game will be uninterrupted, error-free or that data will never be lost.

Limits on liability

To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, data or Virtual Items. Our total liability for any claim about the game is limited to the greater of the amount you paid us in the 12 months before the claim and US$50. Some places do not allow these limits, so they may not apply to you.

Disputes

California law governs these terms, without regard to its conflict-of-laws rules. Before filing a claim, please email [email protected] so we can try to resolve it informally. Any dispute that is not resolved will be decided by the state or federal courts located in Contra Costa County, California, and you and we consent to their jurisdiction. Either of us may instead bring an individual claim in small claims court.

Apple App Store

If you got the game from Apple's App Store: these terms are between you and us, not Apple, and we, not Apple, are responsible for the game and its content. Your licence to the iOS app is a non-transferable licence to use it on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions. You must also comply with any third-party terms that apply when you use the game. Apple has no obligation to provide maintenance or support. If the game fails to conform to an applicable warranty, you may notify Apple, which may refund the purchase price of the app; Apple has no other warranty obligation. We, not Apple, are responsible for handling any claims relating to the game, including product liability, legal or regulatory compliance, consumer protection and intellectual property claims. You confirm you are not located in a country subject to a US government embargo and are not on a US government restricted-party list. Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you.

Changes to these terms

We may update these terms. We will post the new version at this address with a new effective date, and tell you in the game before a significant change takes effect. If you keep playing after it takes effect, you accept the new terms.
